Introduction.

Welcome, these are the Terms and Conditions of Use and Service (the “Terms”) for the websites located, namely www.deliapp.mx, www.delistore.mx, www.delicourier.mx (hereinafter, the “Site”), which are applicable and binding to the access and use of the Site or other products or services offered via the Internet (collectively, the “Services”) by Deliapp.mx, SA de CV (hereinafter, “Deliapp”, “us” or “our”).

The Services are used by people ((the) "User(s)") who access our application for mobile devices available through virtual application stores (hereinafter, the "App" and, in jointly with the Site, our "Platform").

Acceptance by the User.

Please read these Terms carefully, which are mandatory and binding. Registering or accessing a User account, or using the Services, will mean your express acceptance of these Terms, as well as the other documents incorporated into them by reference, in accordance with the provisions of Article 80 of the Commercial Code and in terms of the provisions of article 1803 of the Federal Civil Code.

Failure to comply with these Terms may result in, among other effects, the termination or suspension of your rights to use the Services, legal action by Deliapp, and/or civil and criminal penalties.

Consent by Electronic Means.

The User declares that they have read these Terms, have fully understood them and that they wish to be bound by the terms set forth herein. The acceptance of these Terms is an essential condition to register on the Platform and access the service offered. If you agree with them, please check the corresponding boxes, confirming your acceptance of these Terms.

The use of your personal data provided through the services will be governed by our Privacy notice.

Modifications.

We reserve the right to make changes or modifications to our Terms at any time and at our sole discretion, as well as to all policies and regulations applicable to our Services. The changes that Deliapp makes will be notified by modifying their effective date, by email, by means of a prominent notice on the Site or in some other way.

Your use of the Site after such notification will signify your express acceptance of the updated Terms, which will be binding between the parties. Please, frequently review these Terms, our Privacy notice, as well as the policies and regulations that are applicable to our Services, in order to understand the terms and conditions that apply to the use of our Services, as well as the way in which Deliapp collects, uses and discloses personal data about its Users.

User account.

User Eligibility.

The Services are only provided to people who have full legal capacity to contract the Services offered by Deliapp, among other legal acts whose execution is facilitated by the Platform. In order to access certain areas and applications of our Services, you will need to open an account with your email address and/or with your access credentials to another social network. By registering with your email address, you agree to create a unique password that you will not use with any other online products or services.

The use of the User Account is personal and non-transferable, for which the Users are not empowered to transfer the validation data for access to the Platform. In case of forgetting the validation data or their usurpation, it is the User's obligation to inform Deliapp by email or through the respective functionalities for this, available on the Platform.

As our User, you declare and guarantee, under protest to tell the truth, that you are of legal age and that you have the necessary legal capacity to carry out the activities that are contained in the Site, as well as that all the information and documentation that you provide in relationship with the Services, is true, complete and correct, being, therefore, obliged to indemnify and hold Deliapp harmless and safe from any damage, loss, demand and/or action that said omission or falsehood causes.

User Registration.

By opening an account with us, you also represent and agree to: (a) provide accurate, truthful, current and complete information; (b) maintain and promptly update your account information in the event of any changes to your account; (c) maintain the security of your account by taking reasonable precautions to protect your password and restrict access to your account; (d) give immediate notice to Deliapp if you discover or suspect the existence of security flaws in the Services; and (e) assume responsibility for all activities carried out under your account and accept all risks of all access, whether authorized or unauthorized.

Users, if they have accounts on social networks such as Facebook and Twitter, may create their User account using the credentials defined there, for which the Platform will inform them of this option.

We reserve the right to reject any registration request or even to cancel a previously accepted User registration, without being obliged to communicate or explain the reasons for this decision and without this generating any right to compensation or compensation.

User Responsibility.

The User assumes full responsibility (including civil and criminal) for the lack of veracity in the information entered in the registry, which may be verified at any time by Deliapp. Deliapp reserves the right not to conclude the registration process and, even, to cancel the existing User account, preventing the User from using the Services until, at Deliapp's discretion, the anomaly is corrected.

Users who are independent transport and logistics contractors, having contracting capacity, access the Platform and agree to carry out the management of the mandates requested by the Users, it being understood that said acceptance is merely voluntary.

User Verification.

Deliapp reserves the right to implement mechanisms to verify that Users meet the minimum age required by law for the purchase of alcoholic beverages and tobacco. For this purpose, Deliapp and the Merchant reserve the right to request the User's identity document at the time of delivering the products.

In case of providing false or insufficient information in this regard, the User will be responsible for the damages caused to Deliapp and the Merchant, who may cancel the respective order or purchase, without obligation of payment, credit or reimbursement to the User.

Privacy and Personal Data.

To use the Services offered by Deliapp, you must disclose certain personal data to us. Personal data will be collected, processed and stored on servers or media that maintain high standards of security and protection, both physical and technological. For more information on the processing of personal data and cases in which they will be disclosed, please consult our Privacy Notice.

As a User, you acknowledge that by providing the personal information required in the Services provided through the Site, you grant Deliapp the authorization indicated in article 109 of the Federal Copyright Law.

As a User, you agree to guarantee and respond, in any case, to the veracity, accuracy, validity and authenticity of the personal data you provide. From time to time, we will implement systems to request proof of identity, income, address, personal references and/or additional data, in order to verify and corroborate the veracity, accuracy, validity and authenticity of the personal data collected.

In the case of not being able to confirm said personal data, or for any other reason, we reserve the right to temporarily or permanently suspend the accounts of Users whose data could not be confirmed by Deliapp.

User Code of Conduct.

You are responsible for the content that you submit, post or transmit through our Services. Therefore, as our User, you declare and guarantee that you accept and undertake not to publish, upload, transmit, disseminate, save, create or generate on our Services, content considered in our sole discretion to be: (i) illegal, libelous, invasive of privacy and publicity rights, or that may give rise to liability or violate local, state, national or international law; (ii) that contains private information of another person; (iii) that contains viruses, corrupted data or other harmful files, bots, Trojan horses, malicious code or similar methods and technologies; (iii) that violates any patent, trademark, trade secret, copyright or other intellectual property right of any third party; (iv) or would be considered material that constitutes, encourages or provides instructions to commit a criminal offense, or violates the rights of third parties.

Likewise, you accept and agree not to: (i) use the Services in a way that interferes, interrupts, negatively affects or inhibits the use of the Services by other Users, or that could damage, disable, overload or affect the functioning of the Services in any way; (ii) use our Services for any commercial purpose; (iii) impersonate another person or entity, falsify or misrepresent your identity with a natural or legal person, either by providing false information or omitting information; (iv) circumvent or attempt to tamper with security and verification measures associated with the Site and our Services; (v) present yourself as an agent, representative, employee or partner of Deliapp; or (vi) help a third party to carry out any of the aforementioned actions.

Suspension of Users.

If you violate these Terms or any of our applicable policies or regulations, we may at our discretion and at any time: (a) suspend your access to our Services; (b) deactivate or delete your account and all information and files related to that account; and/or (c) block your access to the Site or any of the Services. In any of these cases, you will not be allowed to register another account on Deliapp without our authorization. Notwithstanding the foregoing, the credit and similar agreements that, if applicable, you have entered into with us, will remain in force and without any change.

In rare circumstances, when we deem it necessary to protect the safety or well-being of the Deliapp community, we will remove a member's account from our Services. People who have been temporarily suspended or permanently disabled will not be able to use the Services.

Service's description.

Rights and Obligations of Deliapp.

The services offered by Deliapp through its Platform include, but are not limited to:

Facilitating its Users the choice of food, beverages and/or consumer products (the "Products) offered by the establishments registered in Deliapp (the "Merchants") by publishing the information of the Products offered by said Merchants and the conditions of their offer, in accordance with an agreement with Deliapp or some Deliapp affiliates.
Put Users and Merchants in contact, through our Platform, so that Users can make orders and purchases via the Internet of the Products offered by Merchants, in accordance with the available advertising menu.
Arrange, facilitate and plan transportation and/or logistics services with independent third party providers of such services, including independent third party carriers and independent third party logistics providers, pursuant to an agreement with Deliapp or certain Deliapp affiliates.

Unless otherwise agreed to by Deliapp in a separate written agreement with you, the Services are made available solely for your personal, non-commercial use.

Rights and Obligations of Users.

It is the exclusive responsibility of the Merchants to provide correct and complete information on the names of the Products, descriptions, prices and information on special offers, as well as warnings for allergies and temperature of the Products, as well as the other information contained in the menus of our shops.

The User declares to know and accept that Deliapp does not participate in --and that the Service does not involve-- the preparation, packaging, availability and/or physical delivery of the Products, these aspects being the full responsibility of the Merchants.

User acknowledges that portions of the Services may be made available under various Deliapp ordering options or brands, including brands known as “Deliapp”, “Delistore” and “Delicourier”. You further acknowledge that the Services may be made available under such brand names or order options by or in connection with: (i) certain Deliapp subsidiaries or affiliates; or (ii) independent third-party providers, including drivers for transportation network companies, transportation charter permit holders, or holders of similar transportation permits, authorizations, or licenses.

The User acknowledges that Deliapp does not provide transportation or logistics services or operate as a transportation company and that such transportation or logistics services are provided by independent third-party contractors, who are not employed by Deliapp or any of its affiliates.

Therefore, the User accepts that any claim for problems arising from the addition, the fulfillment of the order, the manufacture, obtaining or preparation of the Products, the packaging, presentation and handling of the aforementioned, as well as their transportation , must be managed directly with the respective provider, through the functionalities of the Platform.

With the acceptance of these Terms, the User declares to know and accept that there will be no legal relationship of sale between Deliapp and the User due to the User's orders through the Platform.

Consequently, by accessing our Platform and using our Services, as our User you accept and acknowledge, without limitation, that:

We do not offer any guarantee regarding the Products purchased from a Merchant, nor that they will be of a quality satisfactory to the User.
Estimated delivery times are provided, they are estimates only.
Due to factors such as traffic and other elements, Deliapp does not guarantee that the Products will be delivered or available for collection within said estimated times.
Deliapp will not be responsible for the information that the Merchants announce about their Products, nor for any additional information such as quality, merit, quantities, measurements, measurement units, availability, delivery time, prices, flavors, means and forms of payment available.

Additional Terms and Conditions of Service.

Deliapp may, at its sole discretion, create promotional codes that may be redeemed for Account credit or other items or benefits related to the Merchant Services and/or Products, subject to any additional conditions Deliapp establishes based on each promotional code.

From time to time, supplemental terms may apply to certain Services, such as policies for a particular event, activity, or promotion, and such supplemental terms will be disclosed to you in connection with the applicable Services. Supplemental terms are set forth in addition to, and shall be deemed a part of, these Terms for purposes of the applicable Services. The supplemental terms will prevail over the Terms in the event of a conflict with respect to the applicable Services.

Platform operation.

Selection of Products and Order.

Once you have selected the items you wish to order, you can place your order by clicking on the "proceed", "place my order" or similar button. It is important to review the information entered and correct any errors before clicking the "proceed" button, with the understanding that once the order has been placed, errors can no longer be corrected. The availability of the Products will be defined in each specific case at the time the Merchant receives the User's order.

Modification or cancellation of an order.

Once you have placed your order and your payment has been authorized, you cannot cancel it or request a refund. If you wish to modify your order, you can contact our User service, and they will contact the Merchant in order to notify them of the requested changes. We cannot guarantee that we will be able to contact the Merchant in time, or that the Merchant will agree to your changes, as they may have started preparing your order or your order may have already been shipped.

Order Confirmation.

Upon receipt of each order, Deliapp will process the request and send you a notification that your order has been received and that your request is in process, either by email or through the Platform.

Please note that any confirmation page you may see on our Platform and any order confirmation you may receive only means that your order has been received and is being processed by us. The foregoing does not imply that your order has been accepted by the Merchant.

Deliapp will notify the User of any rejection of an order by a Merchant. Merchants may reject orders at any time and for various reasons that are not attributable to Deliapp, orders will be delivered on time or available for collection within the estimated times.

Selection of place of delivery.

The User the exact address where the delivery of the selected Product will be made. This address must be within the Merchant's delivery coverage range. If it is not within that range, the Merchant may cancel the order at no cost.

Product Delivery.

Once all the data corresponding to the transaction and the scope of delivery coverage of the Products are verified, the Merchant will deliver the products to third-party independent carriers and third-party independent logistics providers, so that they can deliver the Products to the address provided. by the User through the Platform. In the event that delivery cannot be made for reasons attributable to the User, the third-party independent carrier and third-party independent logistics provider will record this fact.

Price and Payment.

The prices will be those indicated by the Merchants on our Platform. These prices include Value Added Tax (VAT), but exclude delivery costs, which will be added to the total amount, if applicable. Some Merchants may include delivery charges in the price of their Products, offer free delivery, or waive the charge if you opt for in-person pickup.

It is possible that some of the menus contained in the Platform contain one or more incorrect prices. If the correct price of an order is higher than the price established on our Platform, Deliapp will contact you before the order is dispatched in order to make the adjustment. In these cases, neither Deliapp nor the corresponding Merchant will be obliged to provide the Service or to stock or deliver the order at the lower incorrect price or to compensate you for the lack of correction in the price.

Payment methods.

Payment for orders through our Platform must be made by a credit or debit card or by a payment processing provider accepted by the Merchant, or in cash at the time of delivery of the order, if the Merchant so I will accept it.

We have the service of payment processing providers through the Internet whose technology does not require Deliapp to store the data of your credit or debit card. The handling of your personal and patrimonial data is subject to the terms and conditions and the corresponding privacy notice of each of said payment processing providers through the Internet; and not those of Deliapp.

Prepaid and discount coupons.

A prepaid or discount coupon may be applied to your order if you use a promotional coupon or code issued by a Merchant or by Deliapp, as long as said coupon or code is valid and in force in accordance with the policies of the Merchant or Deliapp. The remaining balance once the discount has been applied will be paid by credit card, debit card or cash. It will be the exclusive responsibility of the Merchant or Deliapp that the coupons indicate their validity, as well as the other terms and conditions that are applicable to be able to use the coupons.

Customer Service, Complaints and Suggestions.

Our Customer Service team will do its best to solve any problem you may have with your order.

If your order is taking longer than expected or if you have any other problem with it, you can contact our Customer Service and one of our Customer Service advisors will try to contact the Merchant in order to to follow up on your complaint.

If you are not satisfied with the quality of the Products or services provided by a Merchant, you may provide such information in the form of ratings, comments and reviews on our Platform to reflect your experience.

Content and Intellectual Property.

User Generated Content.

By providing, submitting or posting content, opinions, suggestions, ideas, questions or any other User-entered content on the Platform through our Services, you grant us a permanent, irrevocable, worldwide, non-exclusive, royalty-free license to use and fully sublicensable; to use, reproduce, display, perform, adapt, modify, create derivative works from, distribute, cause to be distributed and promote such content in any form, media or technology now known or hereafter created (including in emails or other types of communications to other members).

As our User, you represent and warrant that: (a) you own and control all rights to the content you post or, alternatively, that you have the right to post such content on the Services; (b) that such posted content is accurate and not misleading; and (c) that the use and publication of the content does not violate these Terms and will not violate the rights of any natural or legal person or cause any damage to them.

Indemnity for User Content.

Likewise, as our User, you are obliged to release Deliapp in peace and safe for any claim resulting from the content provided. Deliapp has the right to monitor, edit or remove any activity or content. Deliapp will not be responsible or assume any obligation for any content published by any User or third party, nor will it assume the obligation to publish or preserve it on the Platform.

Third Party Content License.

Unless otherwise indicated, the Services and any other material and content published on the Services, including, but not limited to, the Deliapp logo, the Merchants' logo and materials, and all designs, text, graphics, images, videos, information, data, software, sound files, and other files, and the selection and arrangement thereof, are the exclusive property of Deliapp, its affiliated or controlling companies, or their licensors or members, and are protected by the copyright laws of the United Mexican States and international.

User License.

To make use of our Platform, Deliapp grants a free, temporary, non-exclusive and non-transferable license for the User to request our Services in the jurisdiction in which they are located within the national territory of the United Mexican States. The User undertakes not to alter, modify, adapt, sublicense, translate, alienate, reverse engineer, decipher, decompile or otherwise disassemble in whole or in part any portion of our Platform and/or the files or computer programs that compose them, or encourage any third party to do so on their behalf and order or not, with or without profit. This license may be modified or revoked at any time by Deliapp without prior notice.

Services offered by third parties.

From time to time, Deliapp may display or promote links to third party products or services. You acknowledge that such products and services are offered and marketed by one or more third parties, and not by us. For more information, you should consult the terms and conditions applicable to said third parties, as well as their privacy policies, which govern their products and services.

Deliapp is not responsible for the links to third-party web pages included in our Platform. These links are only provided for the convenience of the User and access to them is the sole responsibility of the Users.

Interruption of Services.

We may, in our sole discretion and without incurring any liability to you as a user, with or without notice and at any time, temporarily or permanently disable, disable or interrupt any part of the Platform or our Services, which are provided both by Deliapp and by third parties hired for it.

By using our Services, you do so at your own risk. Accordingly, our Services are provided "as is" and "as available"; and we do not represent or warrant: (a) that our Services will meet your requirements or expectations; (b) that our Services will be provided in an uninterrupted, timely, secure, or error-free manner; (c) the quality of any of our products, activities, information or other material provided through the Site or our Services; (d) that any errors in any data or software will be corrected; (e) any loss of profits, sales, business or income; (f) loss or corruption of data, information or software; (g) loss of business opportunities; (h) loss of anticipated savings; (i) loss of goodwill, or (j) any indirect or consequential loss.

Deliapp cannot guarantee that the information on its Platform is complete and correct at all times, since said information is provided by our Merchants and third parties. Deliapp may make changes to the contents of its Platform at any time and without prior notice.

Limitation and Exemption of Liability.

Deliapp will only be liable for any damage caused to the User that is derived from negligence or inexcusable intent directly attributable to Deliapp or due to any false statement by Deliapp, unless said damage is attributable to the negligence of the victim or caused by his own negligence or fraud

Deliapp's responsibility towards the User in relation to the use of the Platform and the Deliapp Services is limited to a Service credit within the Platform, an amount equivalent to the amount of the Service for which the event was presented and up to for a maximum amount equivalent to the highest value of a User's order that Deliapp has registered.

Compensation.

Each User will indemnify and agree to release Deliapp, its subsidiaries, controlled and/or controlling companies, directors, administrators, representatives and employees, for any claim or demand from other Users or third parties for the activities of the User and/or or its directors and/or administrators and/or representatives and/or employees and/or agents on the Platform or for its breach of these Terms or for the violation of any laws or rights of third parties, including the payment of attorneys' fees.

Deliapp will not be responsible for the breach of its obligations under these Terms caused by any event that is beyond its control, such as fortuitous event and force majeure (ie any act, event, omission or accident that is outside of its control). our control or that of our Merchants, or that was not reasonably foreseeable by Deliapp or by any of our Merchants).

Generals.

Deliapp may, at any time and when it deems it convenient, totally or partially assign its rights and obligations derived from these Terms.

If any provision of these Terms is held to be unlawful, void, or unenforceable, in whole or in part, under any law, then such provision or any part thereof shall be deemed not to form part of these Terms, notwithstanding the legality, validity and enforceability of the remaining provisions of these Terms will not be affected. In that event, the parties shall replace such illegal, void, or unenforceable provision, in whole or in part, with a legal, valid, and enforceable provision that has, to the extent possible, a similar effect to that of the illegal, void, or unenforceable provision. or unenforceable, given the contents and purpose of these Terms.

These Terms constitute the entire contract and understanding between the parties relating to the subject matter and supersede and supersede all prior or contemporaneous contracts or agreements relating to such subject matter.

Jurisdiction.

Applicable legislation.

For any dispute arising from these Terms, their existence, validity, interpretation and scope, as well as the fulfillment and execution of this contract, the parties expressly submit to the jurisdiction of the competent federal courts of Mexico City, waiving accordingly to any jurisdiction that by reason of their present or future domicile may correspond to them.

DELIVERY PARTNERS

SERVICE CONTRACT.

Deliapp offers food and product sales services, generating deliveries in order to attract potential customers for INDEPENDENT of delivery services. The deliapp allow You (once You are authorized by deliapp) to receive delivery services from the deli app: TAKE IT TO YOU.

You acknowledge and agree that deliapp is a technology sales and service provider that does not offer delivery services.

Use of deli Courier Services

Provider ID.

deliapp will provide You with Your provider credentials so You can access and use the deli Courier Application on a Device in accordance with this Agreement. You agree that you will keep your provider credentials confidential and will not share such information with any third party. You will immediately notify deliapp any breach or disclosure of your Provider ID or the deli Courier App, any misuse of either, or any suspected such breaches.

Provision of Delivery Services.

When the deli Courier application is activated, you will be able to see requests for delivery services made by the system, based on your location, availability and other factors. All the information for that delivery will be provided by the system and you must abide by any special instructions that may be included.

You must not collect data from deliapp users or make contact with them for any reason outside of the selected delivery process.

Relationship with users and delivery recipients.

You acknowledge and agree that requests for delivery services from you to users create a direct business relationship between you and the user, to which deliapp is not a party. Deliapp is not responsible for actions or omissions of any user or recipient of the delivery in relation to the activities you carry out or your means of transport. You will assume sole responsibility for any obligation or liability to users, delivery recipients, or other third parties arising from your provision of delivery services. You acknowledge and agree that:

The sole responsibility to take reasonable and appropriate precautions (including underwriting insurance that meets the requirements of any applicable laws) in connection with the actions or omissions of any user, delivery recipient or other third parties falls on you.
deliapp may disclose your contact details or insurance information to any user or delivery recipient upon reasonable request of any of these (for example, in connection with an accident).

Your relationship with deliapp.

You acknowledge and agree that the access that deliapp gives you to use the deli Courier application creates a direct and legal business relationship between deliapp and You. deliapp does not direct or control you, nor should such an assumption be made, generally or specifically in your performance under this agreement, including in connection with the provision of delivery services by your part, your acts or omissions or your use and maintenance of your means of transportation. You retain the sole right to determine when, where, and for how long you use the deli Courier application. You reserve the option to try to accept, reject or ignore any request for delivery services offered by the system, or to cancel any request for delivery services accepted through deli Courier, as long as they are contemplated in the policies of current deliapp.

You understand that you retain the full right to: (i) use other software application services in addition to the deliapp; and (ii) engage in any other occupation or commercial activity by not doing the following: (a) display deliapp's names, logos or colors on your means of transportation; (b) wear a uniform or any other garment that displays the names, logos or colors of deliapp. deliapp retains the right to disable or revoke access to deli Courier in the event of any breach or suspected breach of this agreement; you despise deliapp;'s brand, reputation or business deliapp, as determined by deliapp in its sole discretion.

Ratings.

You acknowledge and agree that at the end of any delivery service, the deli: TE LO LLEVA application may ask the user or the recipient of the delivery to rate you on the performance of your delivery service and, optionally, provide comments. o give feedback about you in connection with such delivery service; and also, after the provision of delivery services, the deli Courier will ask you to provide a user rating and, optionally, to provide comments and opinions about it. You must provide your assessment and opinion in good faith and taking care of the ways of expression about users at all times.

You acknowledge that deliapp wants users to have access to high-quality services through the deli technology application: IT TAKES IT TO YOU. To that end, in order to continue to have access to the deli Courier application, you must maintain an average rating that exceeds the minimum acceptable average rating established by deli for the city where you operate, which may be updated by deliapp in its sole discretion. Your average rating is intended to reflect the general satisfaction of users with the delivery services you provide, if your average rating falls below the minimum established rating, deli will notify you of this fact and may assign, at its discretion, a limited period to have your average rating increase above the Minimum Average Rating. deliapp reserves the right to deactivate your access to the deli Courier as a result of said assessment. In addition, You acknowledge that Your continued non-acceptance of user requests for delivery services while You are connected to deli Courier creates a negative experience for users of the deli application: IT TAKES IT TO YOU. If you do not wish to accept requests for Delivery Services for a period of time, you agree to log out of the provider application.

deliapp reserves the right to use, share and display evaluations and observations of you and the user during the services of without attribution to you or your authorization. You acknowledge and agree that deliapp receives and stores the comments and ratings generated by the user or the recipient of the delivery and is not subject to any obligation to verify them; however, deliapp reserves the right to edit or delete comments if they are obscene or otherwise objectionable; include the name and other personal information of an individual; or violate any privacy law, any other applicable laws.

Location Based Services.

You acknowledge and agree that your geolocation information shall be provided to deliapp through your access to deli Courier, and may obtain geolocation information from you while the application is running; and your approximate location will be displayed to the user and/or delivery recipient prior to and in the course of providing delivery services.

Financial and payment terms.

For the calculation of delivery fees and their payment, you have the right to charge a delivery fee for each completed delivery service that you have provided to any user and that you have obtained through the deliapp; as applicable, said delivery fee is calculated from a base amount for the delivery fee plus distance amounts. You acknowledge that the delivery fee is the only payment you will receive in connection with your provision of delivery services and that neither the delivery fee nor the delivery fee calculation includes any gratuity.

You designate deliapp as your limited collection agent for the sole purpose of accepting the Delivery Fee and you agree that the payment made by the user to deliapp shall be deemed equivalent to the user's direct payment to you.

deliapp charges and payments.

You acknowledge and accept that deliapp your income 25% as commission for using the platform, as well as reserving the right to supplement your payment according to your good performance and positive evaluations that users express about the products. delivery services. In turn , deliapp will liquidate via electronic transfer or deposit to the account that you registered in your registration form. Payments will be made on Wednesday of each week, and will include the delivery services carried out in the immediately preceding week, from Monday to Sunday.

Deposits and cash handling.

You acknowledge and agree that you must make deposits for the delivery services made to the deliapp designated for your territory or any other form expressed by deliapp as valid, with a maximum limit of 12 hours after the service has been performed. deliapp reserves the right to deactivate your account if you do not carry out such activities in a timely manner. In the event that you do not comply with the obligations mentioned in this Agreement, deliapp may carry out the corresponding legal actions against you.

Taxes.

You acknowledge and agree that, as an Independent Service Provider, you are obligated to: (a) comply with all fiscal obligations and satisfy all tax obligations related to your provision of the Independent Delivery Services as required by the applicable legislation; (b) provide deliapp all relevant tax information. The foregoing, even when deliapp acts as a limited payment collection agent (also with respect to taxes and duties on operations). Furthermore, you acknowledge and agree that you are responsible for taxes on your own income derived from the provision of delivery services. Notwithstanding any aspect that stipulates the contrary in this contract, deliapp may, at its reasonable discretion, and you will give your consent to deliapp in this regard, based on tax provisions, regulations, and any other resolution or applicable tax regulations, charge and submit any taxes resulting from Your provision of the Delivery Services, as well as providing any applicable tax information You have provided pursuant to the above requirement, directly to the relevant government tax authorities on Your behalf or otherwise. You also acknowledge and agree that in no case deliapp be responsible for the obligations that correspond to you under the legal provisions regarding taxes or all other applicable contributions. The function of deliapp will be limited to that of collection agent for card payments and other functions that are expressly established in the contract.

Term and Termination

Term. This Agreement will become effective on the date You entered into it (electronically or otherwise) and will remain in effect until terminated in accordance with this Agreement.

Rescission.Either party may terminate this Agreement: (a) without giving any reason seven (7) days prior written notice to the other party; (b) immediately, without notice, for material breach of this Agreement by the other party; deliapp may terminate this Agreement or your access to deli Courier immediately, without notice, if You are no longer qualified, under applicable law or deliapp's rules and policies, to provide delivery services or to operate your means of delivery. transportation, or as otherwise provided in this Agreement.

Relationship of the Parties

Except to the extent that this document provides otherwise in relation to the performance of deliapp as a payment collection agent limited exclusively for the purpose of collecting debts from users on your behalf, the relationship between the parties under this Agreement is exclusively that of independent contractors. The parties expressly agree that: (a) this Agreement is not an employment contract, nor does it create any employer-employee relationship (including from the perspective of labor law, tax law or social security law) between deliapp and You; and (b) no joint venture, business association, or agent relationship exists between deliapp and You.

You have no authority to bind deliapp and you agree that you do not consider yourself an employee, worker, agent or authorized representative of deliapp.

You expressly acknowledge and agree that, by accepting the terms of this Agreement, You intend to provide Delivery Services on a non-incidental basis and, as such, deliapp will treat You as a taxpayer under all applicable tax laws with respect to VAT and indirect taxes.

Modification.

deliapp reserves the right to modify the conditions of this Agreement at any time, effective from the date of publication of an updated version of this Agreement on the Internet portal available to You in the Deli Services. deliapp reserves the right to change from time to time any information referred to in the links in this Agreement. You acknowledge and agree that, by using the deliapp or by downloading, installing or using the deli Courier application, you are subject to any future modification of the information referred to in the links contained in this Agreement or in documents incorporated therein. or to any future additions to both, including those in connection with delivery fee calculations. Your continued use of the Deli Courier Application after any such changes will constitute Your consent to such changes. Unless changes are made to the arbitration provisions of this Agreement, You acknowledge and agree that changing this Agreement does not create another opportunity to opt out of the arbitration process.

Divisibility.

If any provision of this Agreement is held to be illegal, void, or unenforceable, in whole or in part, under any law, such provision or part thereof shall be deemed not to form part of this Agreement, notwithstanding the legality, The validity and enforceability of the remaining provisions of this Agreement will not be affected. In that case, the parties must replace said (part of) illegal, null or unenforceable provision with a (part of) legal, valid and applicable provision that has, as far as possible, a similar effect to that of the (part of the) illegal, null or unenforceable provision, given the contents and purpose of this Agreement.

Assignment.

You have no right to assign or transfer this Agreement or any of Your rights or obligations hereunder, in whole or in part, without deliapp's prior written consent. deliapp may assign or transfer this Agreement or any of its rights or obligations hereunder, in whole or in part, in accordance with its provisions without consent or notice. If deliapp chooses to do so, you will have the right to terminate this contract immediately, without the need for prior notice.

Applicable legislation.

Nothing in this Agreement restricts or excludes legal rights that may correspond to You under applicable law and that are not subject to restriction or exclusion by law (and are not intended to be).

By pressing "I accept" or using the deli Courier application, you expressly acknowledge that you have read and understood this Agreement, that you have taken the necessary steps to carefully weigh the consequences of this Agreement, that you agree to comply with its conditions and that has the legal capacity to enter into this Agreement.

deli Courier uses a series of tools to provide the service to our couriers in the best possible way, for which we obtain the following information from your device:

Location, which allows us real time and even when the application is not in use.

All this information is used but not stored on our servers, in the same way that it is not shared with third parties under any circumstances, including commercial or advertising purposes, it is only used for the proper functioning of our services.

POLÍTICA DE PRIVACIDAD / TÉRMINOS Y CONDICIONES DE USO Y DE SERVICIO

Introducción.

Bienvenido, estos son los Términos y Condiciones de Uso y de Servicio (los “Términos”) para los sitios web ubicados, a saber en www.deliapp.mx, www.delistore.mx, www.delicourier.mx (en adelante, el “Sitio”), los cuales son aplicativos y vinculantes al acceso y al uso del Sitio u otros productos o servicios ofrecidos proporcionados vía Internet (colectivamente, los “Servicios”) por Deliapp.mx, S.A. de C.V. (en adelante, “Deliapp”, “nosotros” o “nuestro”).

Los Servicios son utilizados por las personas ((el)(los) "Usuario(s)") que ingresan a nuestra aplicación para dispositivos móviles disponible por medio de tiendas virtuales de aplicaciones (en lo sucesivo, la "App" y, de manera conjunta con el Sitio, nuestra "Plataforma").

Aceptación por el Usuario.

Por favor, lee cuidadosamente estos Términos, los cuales tienen un carácter obligatorio y vinculante. El registrarte o acceder a una cuenta de Usuario, o el usar los Servicios, significará tu aceptación expresa con estos Términos, así como con los demás documentos incorporados a los mismos por referencia, de conformidad con lo establecido en el Artículo 80 del Código de Comercio y en términos de lo dispuesto por el artículo 1803 del Código Civil Federal.

El incumplimiento de estos Términos puede dar lugar, entre otros efectos, a la terminación o suspensión de tus derechos de uso de los Servicios, al inicio de acciones legales por parte de Deliapp y/o a sanciones civiles y penales.

Consentimiento por Medios Electrónicos.

El Usuario declara haber leído estos Términos, haberlos comprendido en su integridad y que desea obligarse en los términos aquí previstos. La aceptación de los presentes Términos es condición indispensable para registrarse en el Plataforma y acceder al servicio ofrecido. En caso de estar de acuerdo con los mismos, por favor marca las casillas correspondientes, confirmando su aceptación a estos Términos.

El uso de tus datos personales proporcionados a través de los servicios se regirá por nuestro aviso de Privacidad.

Modificaciones.

Nos reservamos el derecho de hacer cambios o modificaciones a nuestros Términos en cualquier momento y a nuestra entera discreción, así como en todas las políticas y normas aplicables a nuestros Servicios. Los cambios que Deliapp realice serán notificados mediante la modificación de la fecha efectiva de los mismos, mediante correo electrónico, mediante una notificación prominente en el Sitio o de alguna otra manera.

El uso del Sitio tras dicha notificación significará tu aceptación expresa de los Términos actualizados, los cuales serán vinculantes entre las partes. Por favor, revisa frecuentemente estos Términos, nuestro aviso de Privacidad, así como las políticas y normas que sean aplicables a nuestros Servicios, a fin de entender los términos y condiciones que aplican al uso de nuestros Servicios, así como de la manera en que Deliapp recopila, usa y divulga datos personales sobre sus Usuarios.

Cuentas de Usuario.

Elegibilidad de Usuario.

Los Servicios solo son proporcionados para personas que tengan plena capacidad legal para contratar los Servicios ofrecidos por Deliapp, entre otros actos jurídicos cuya celebración es facilitada por la Plataforma. Para acceder a ciertas áreas y aplicaciones de nuestros Servicios, deberás abrir una cuenta con tu dirección de correo electrónico y/o con tus credenciales de acceso a otra red social. Al registrarte con tu dirección de correo electrónico, aceptas crear una contraseña única que no utilices con ningún otro producto o servicio en línea.

El uso de la Cuenta de Usuario es personal e intransferible, por lo cual los Usuarios no se encuentran facultados para ceder los datos de validación para el acceso a la Plataforma. En caso de olvido de los datos de validación o de usurpación de éstos, es obligación del Usuario informarlo a Deliapp a través de correo electrónico o mediante las funcionalidades respectivas para ello, disponibles en la Plataforma.

Como nuestro Usuario, tú declaras y garantizas, bajo protesta de decir verdad, que eres mayor de edad y que cuentas con la capacidad jurídica necesaria para realizar las actividades que se contienen en el Sitio, así como que toda la información y documentación que proporciones en relación con los Servicios, es verdadera, completa y correcta, quedando, por ende, obligado a indemnizar y sacar en paz y a salvo a Deliapp de cualquier daño, perjuicio, demanda y/o acción que dicha omisión o falsedad le provoques.

Registro de Usuario.

Al abrir una cuenta con nosotros, también declaras y te obligas en: (a) proporcionar información precisa, veraz, actual y completa; (b) mantener y actualizar sin demora la información de tu cuenta ante cualquier modificación de la misma; (c) mantener la seguridad de tu cuenta adoptando las debidas precauciones para proteger tu contraseña y restringir el acceso a tu cuenta; (d) dar aviso inmediato a Deliapp si descubres o sospechas la existencia de fallas de seguridad en los Servicios; y (e) asumir responsabilidad por todas las actividades llevadas a cabo en tu cuenta y aceptar todos los riesgos de todos los accesos, sean estos autorizados o no autorizados.

Los Usuarios, en caso de tener cuentas en redes sociales como Facebook y Twitter, podrán crear su cuenta de Usuario con la utilización de las credenciales allí definidas, para lo cual la Plataforma les comunicará esta opción.

Nos reservamos el derecho de rechazar cualquier solicitud de inscripción o inclusive de cancelar una inscripción de Usuario previamente aceptada, sin que estemos obligados a comunicar o exponer las razones de esta decisión y sin que ello genere algún derecho a indemnización o resarcimiento.

Responsabilidad de Usuario.

El Usuario asume íntegramente la responsabilidad (incluso civil y penal) por la falta de veracidad en la información ingresada en el registro, la cual podrá ser verificada en cualquier momento por Deliapp. Deliapp se reserva el derecho de no concluir con el proceso de registro e, inclusive, de cancelar la cuenta de Usuario existente, impidiendo al Usuario utilizar los Servicios hasta que, a criterio de Deliapp, la anomalía sea subsanada.

Los Usuarios que son contratistas independientes de transporte y logística, teniendo capacidad de contratación, acceden a la Plataforma y aceptan realizar la gestión de los mandatos solicitados por los Usuarios, entendiéndose que dicha aceptación es meramente voluntaria.

Verificación de Usuarios.

Deliapp se reserva el derecho a implementar mecanismos para verificar que los Usuarios cumplan con la edad mínima requerida por ley para la compra de bebidas alcohólicas y tabaco. Para tal efecto, Deliapp y el Comercio se reservan el derecho de solicitar el documento de identidad del Usuario al momento de efectuar la entrega de los productos.

En caso de suministrar información falsa o insuficiente al respecto, el Usuario será responsable por los perjuicios ocasionados a Deliapp y al Comercio, quienes podrán cancelar el pedido o compra respectivo, sin obligación de pago, crédito o reembolso alguno hacia el Usuario.

Privacidad y Datos Personales.

Para utilizar los Servicios ofrecidos por Deliapp, deberás divulgarnos ciertos datos de carácter personal. Los datos personales serán recolectados, tratados y almacenados en servidores o medios que mantienen altos estándares de seguridad y protección tanto física como tecnológica. Para mayor información sobre el tratamiento de los datos personales y casos en los que serán revelados, por favor consulta nuestro Aviso de Privacidad.

Como Usuario, reconoces que al proporcionar la información de carácter personal requerida en los Servicios que se prestan mediante el Sitio, otorgas a Deliapp la autorización señalada en el artículo 109 de la Ley Federal del Derecho de Autor.

Como Usuario, te comprometes a garantizar y responder, en cualquier caso, de la veracidad, exactitud, vigencia y autenticidad de los datos personales que proporciones. De tiempo en tiempo, implementaremos sistemas para solicitar comprobantes de identidad, de ingresos, de domicilio, referencias personales y/o datos adicionales, a efectos de comprobar y corroborar la veracidad, exactitud, vigencia y autenticidad de los datos personales recolectados.

En el caso de no poder confirmar dichos datos personales, o por algún otro motivo, nos reservamos el derecho de suspender temporal o definitivamente las cuentas de Usuarios cuyos datos no hayan podido ser confirmados por Deliapp.

Código de Conducta del Usuario.

Tú eres el responsable del contenido que envíes, publiques o transmitas a través de nuestros Servicios. Por lo tanto, como nuestro Usuario, tú declaras y garantizas que aceptas y te obligas en no a publicar, subir, transmitir, difundir, guardar, crear o generar en nuestros Servicios, contenido considerado a nuestra total discreción como: (i) ilegal, injurioso, invasivo de los derechos de privacidad y publicidad, o que pueda generar responsabilidad o violar leyes locales, estatales, nacionales o internacionales; (ii) que contenga información privada de otra persona; (iii) que contenga virus, datos dañados u otros archivos dañinos, bots, caballos troyanos, códigos maliciosos o métodos y tecnologías similares; (iii) que viole alguna patente, marca, secreto comercial, derechos de autor u otro derecho de propiedad intelectual de terceros; (iv) o se consideraría material que constituya, aliente o proporcione instrucciones para cometer un delito criminal, o que viole los derechos de terceros.

Asimismo, aceptas y te obligas en no: (i) utilizar los Servicios de una manera que interfiera, interrumpa, afecte negativamente o inhiba el uso de los Servicios por parte de otros Usuarios, o que pudiera dañar, inhabilitar, sobrecargar o afectar el funcionamiento de los Servicios de cualquier forma; (ii) usar nuestros Servicios con cualquier fin comercial; (iii) suplantar a otra persona o entidad, falsificar o tergiversar tu identidad con una persona física o moral, ya sea proporcionando información falsa u omitiendo información; (iv) eludir o intentar manipular las medidas de seguridad y verificación relacionadas con el Sitio y nuestros Servicios; (v) presentarte como agente, representante, empleado o socio de Deliapp; o (vi) ayudar a un tercero a llevar a cabo cualquiera de las acciones antes mencionadas.

Suspensión de Usuarios.

En caso de violar estos Términos o cualquiera de nuestras políticas o normas vigentes, podremos a nuestro criterio y en cualquier momento: (a) suspender tu acceso a nuestros Servicios; (b) desactivar o borrar tu cuenta y toda la información y los archivos relacionados con dicha cuenta; y/o (c) bloquear tu acceso al Sitio o a cualquiera de los Servicios. En cualquiera de estos casos, no se te permitirá registrar otra cuenta en Deliapp sin nuestra autorización. No obstante lo anterior, los contratos de crédito y similares que, en su caso, hayas celebrado con nosotros, continuarán vigentes y sin cambio alguno.

En circunstancias excepcionales, cuando consideremos necesario proteger la seguridad o el bienestar de la comunidad de Deliapp, eliminaremos la cuenta de un miembro de nuestros Servicios. Las personas que hayan sido suspendidas temporalmente o inhabilitadas definitivamente, no podrán utilizar los Servicios.

Descripción de los Servicios.

Derechos y Obligaciones de Deliapp.

Los servicios ofrecidos por Deliapp a través de su Plataforma incluyen, pero no se limitan, a:

Facilitar a sus Usuarios la elección de alimentos, bebidas y/o productos de consumo (los “Productos) ofrecidos por los establecimientos registrados en Deliapp (los "Comercios") mediante la publicación de la información de los Productos ofrecidos por dichos Comercios y las condiciones de su ofrecimiento, conforme a un acuerdo con Deliapp o algunos afiliados de Deliapp.
Poner en contacto a los Usuarios y a los Comercios, a través de nuestra Plataforma, para que los Usuarios puedan hacer pedidos y compras vía Internet de los Productos ofrecidos por los Comercios, de acuerdo con el menú publicitario disponible.
Organizar, facilitar y planear el transporte y/o servicios de logística con terceros proveedores independientes de dichos servicios, incluidos terceros transportistas independientes y terceros proveedores logísticos independientes, conforme a un acuerdo con Deliapp o algunos afiliados de Deliapp.

A no ser que Deliapp lo acepte mediante un contrato separado por escrito con usted, los Servicios se ponen a disposición solo para su uso personal, no comercial.

Derechos y Obligaciones de los Usuarios.

Es responsabilidad exclusiva de los Comercios proporcionar información correcta y completa de los nombres de los Productos, descripciones, precios e información de ofertas especiales, así como advertencias por alergias y de temperatura de los Productos, así como de la demás información contenida en los menús de nuestros Comercios.

El Usuario declara conocer y aceptar que Deliapp no participa en --y que el Servicio no involucra-- la preparación, empaque, disponibilidad y/o entrega física de los Productos, siendo estos aspectos responsabilidad íntegra de los Comercios.

El Usuario reconoce que partes de los Servicios podrán ponerse a disposición bajo varias marcas u opciones de pedidos de Deliapp, incluidas las marcas denominadas como “Deliapp”, “Delistore” y “Delicourier”. Asimismo usted reconoce que los Servicios podrán ponerse a disposición bajo dichas marcas u opciones de pedidos por o en relación con: (i) ciertas subsidiarias o afiliados de Deliapp; o (ii) terceros proveedores independientes, incluidos conductores de empresas de red de transportes, titulares del permiso de carta de transporte o titulares de permisos, autorizaciones o licencias de transporte similares.

El Usuario reconoce que Deliapp no presta servicios de transporte o de logística o funciona como una empresa de transportes y que dichos servicios de transporte o logística se prestan por terceros contratistas independientes, que no están empleados por Deliapp ni por ninguna de sus afiliados.

Por lo anterior, el Usuario acepta que cualquier reclamo por problemas derivados de la adición, del cumplimiento del pedido, de la fabricación, obtención o preparación de los Productos, el empaque, presentación y manejo de los anteriores, así como el transporte de los mismos, deberá ser gestionado directamente con el respectivo proveedor, a través de las funcionalidades de la Plataforma.

Con la aceptación de estos Términos, el Usuario declara conocer y aceptar que no existirá ninguna relación jurídica de compraventa entre Deliapp y el Usuario con motivo de los pedidos del Usuario a través de la Plataforma.

En consecuencia, mediante el acceso a nuestra Plataforma y el uso de nuestros Servicios, como nuestro Usuario aceptas y reconoces, sin carácter limitativo, que:

No ofrecemos ninguna garantía respecto a los Productos comprados a un Comercio, ni que vayan a ser de una calidad satisfactoria para el Usuario.
Los tiempos estimados de entregas son proporcionados, son sólo estimaciones.
Debido a factores como el tráfico y otros elementos, Deliapp no garantiza que los Productos sean entregados o estén disponibles para recogerlos dentro de dichos tiempos estimados.
Deliapp no será responsable de la información que los Comercios anuncien de sus Productos, ni por cualquiera información adicional como calidad, mérito, cantidades, medidas, unidades de medición, disponibilidades, tiempo de entrega, precios, sabores, medios y formas de pago disponibles.

Términos y Condiciones de Servicio Adicionales.

Deliapp podrá, a su sola discreción, crear códigos promocionales que podrán ser canjeados por crédito de Cuenta u otros elementos o beneficios relacionados con los Servicios y/o los Productos de los Comercios, con sujeción a cualquier condición adicional que Deliapp establezca sobre la base de cada código promocional.

De cuando en cuando, se podrán aplicar condiciones suplementarias a determinados Servicios, como políticas para un evento, una actividad o una promoción particular, y dichas condiciones suplementarias se le comunicarán en relación con los Servicios aplicables. Las condiciones suplementarias se establecen además de estos Términos, y se considerarán una parte de estos, para los fines de los Servicios aplicables. Las condiciones suplementarias prevalecerán sobre los Términos en el caso de conflicto con respecto a los Servicios aplicables.

Funcionamiento de la Plataforma.

Selección de Productos y Pedido.

Una vez que hayas seleccionado los artículos que deseas pedir, podrás encargar tu pedido haciendo clic en el botón de "proceder", "realizar mi pedido" o análogo. Es importante revisar la información introducida y que se corrijan cualesquiera errores antes de hacer clic en el botón de "proceder", en el entendido que una vez realizado el pedido ya no podrán corregirse errores. La disponibilidad de los Productos será definida en cada caso en concreto al momento en que el Comercio reciba la orden del Usuario.

Modificación o cancelación de un pedido.

Una vez que hayas realizado tu pedido y se haya autorizado tu pago, no podrás cancelarlo ni podrás solicitar su reembolso. Si deseas modificar tu pedido podrás ponerte en contacto con nuestro servicio de atención al Usuario, y ellos se pondrán en contacto con el Comercio a fin de comunicarles los cambios solicitados. No podemos garantizar que podamos contactar al Comercio a tiempo, o que el Comercio esté de acuerdo con tus cambios, ya que pueden haber iniciado la preparación de tu pedido o éste pudo haber sido ya enviado.

Confirmación de Pedido.

Tras la recepción de cada pedido, Deliapp procesará la solicitud y te enviará una notificación de que tu pedido ha sido recibido y que tu solicitud está en proceso, ya sea por correo electrónico o mediante la Plataforma.

Por favor, toma en cuenta que cualquier página de confirmación que puedas ver en nuestra Plataforma y cualquier confirmación de pedido que puedas recibir solamente implica que tu pedido ha sido recibido y está siendo procesado por nosotros. Lo anterior, no implica que tu pedido haya sido aceptado por el Comercio.

Deliapp comunicará al Usuario cualquier rechazo de un pedido por un Comercio. Los Comercios pueden rechazar pedidos en cualquier momento y por diversas causas que no le son imputables a Deliapp, los pedidos serán entregados a tiempo o estén disponibles para su recolección en los tiempos estimados.

Selección de lugar de entrega.

El Usuario la dirección exacta donde se realizará la entrega del Producto seleccionado. Esta dirección debe encontrarse en el rango de cobertura de entrega del Comercio. En caso de no encontrarse en dicho rango, el Comercio podrá cancelar el pedido sin costo alguno.

Entrega de Producto.

Una vez que todos los datos correspondientes a la transacción y al ámbito de cobertura de entrega de los Productos sean verificados, el Comercio entregará los productos a terceros transportistas independientes y terceros proveedores logísticos independientes, a fin de que estos lleven los Productos a la dirección suministrada por el Usuario a través de la Plataforma. En caso de no poderse realizar la entrega por razones imputables al Usuario, el tercero transportista independiente y terceros proveedor logístico independiente dejará constancia de este hecho.

Precio y Pago.

Los precios serán los indicados por los Comercios en nuestra Plataforma. Estos precios incluyen el Impuesto al Valor agregado (IVA), pero excluyen los gastos de entrega, que se añadirán al importe total, en su caso. Algunos Comercios podrán incluir los gastos de entrega en el precio de sus Productos, ofrecer la entrega sin costo, o no aplicar el cargo si optas por la recolección en persona.

Es posible que alguno de los menús contenidos en la Plataforma contengan uno o más precios incorrectos. Si el precio correcto de un pedido fuera superior al precio establecido en nuestra Plataforma, Deliapp se pondrá en contacto contigo antes de que el pedido sea despachado a fin de realizar el ajuste. En estos casos, ni Deliapp ni el Comercio correspondiente estarán obligados, a prestar el Servicio ni a surtir o entregar el pedido al precio incorrecto inferior ni a compensarte por la falta de corrección en el precio.

Métodos de pago.

El pago de los pedidos a través de nuestra Plataforma deberá realizarse mediante una tarjeta de crédito o de débito o por un proveedor de procesamiento de pagos aceptada por el Comercio, o en efectivo al momento de la entrega del pedido, si es que el Comercio así lo aceptara.

Contamos con el servicio de proveedores de procesamientos de pago a través de Internet cuya tecnología no requiere que Deliapp almacene los datos de tu tarjeta de crédito o de débito. El manejo de tus datos personales y patrimoniales está sujeto a los términos y condiciones y al aviso de privacidad correspondiente de cada uno de dichos proveedores de procesamientos de pago a través de Internet; y no a los de Deliapp.

Cupones de prepago y de descuento.

Un cupón de prepago o de descuento podrá aplicarse a tu pedido si utilizas un cupón promocional o código emitido por un Comercio o por Deliapp, siempre y cuando dicho cupón o código sea válido y se encuentre vigente de acuerdo con las políticas del Comercio o Deliapp. El saldo faltante una vez aplicado el descuento será abonado mediante tarjeta de crédito, débito o efectivo. Será responsabilidad exclusiva del Comercio o Deliapp que los cupones indiquen su vigencia, así como los demás términos y condiciones que sean aplicables para poder hacer uso de los cupones.

Atención al Usuario, Quejas y Sugerencias.

Nuestro equipo de atención al Usuario realizará sus mejores esfuerzos para solventar cualquier problema que pudieras tener con tu pedido.

Si tu pedido está tardando más tiempo de lo esperado o si tienes cualquier otro problema con el mismo, puedes ponerte en contacto con nuestro servicio de atención al Usuario y uno de nuestros asesores de atención al Usuario intentará ponerse en contacto con el Comercio con el fin de dar seguimiento a tu queja.

Si no quedaras satisfecho con la calidad de los Productos o de los servicios prestados por un Comercio, podrás proporcionar dicha información en forma de calificaciones, comentarios y reseñas en nuestra Plataforma para reflejar tu experiencia.

Contenido y Propiedad Intelectual.

Contenido Generado por el Usuario.

Al proporcionar, enviar o publicar contenido, opiniones, sugerencias, ideas, preguntas o cualquier otro contenido ingresado por el Usuario en la Plataforma mediante nuestros Servicios, nos otorgas una licencia de uso permanente, irrevocable, a nivel mundial, no exclusiva, libre de regalías y plenamente sublicenciable; para utilizar, reproducir, exhibir, presentar, adaptar, modificar, crear trabajos derivados de dicho contenido, distribuir, hacer distribuir y promover dicho contenido en cualquier forma, medios o tecnología conocidos actualmente o que puedan ser creados en adelante (incluso en emails u otros tipos de comunicaciones a otros miembros).

Como nuestro Usuario, declaras y garantizas que: (a) eres dueño y controlas todos los derechos del contenido que publiques o en su defecto, que tienes derecho a publicar dicho contenido en los Servicios; (b) que dicho contenido publicado es exacto y no es engañoso; y (c) que el uso y la publicación del contenido no viola estos Términos y no violará los derechos de ninguna persona física o jurídica ni le ocasionará perjuicio alguno.

Indemnidad por el Contenido del Usuario.

Asimismo, como nuestro Usuario te obligas a sacar en paz y a salvo a Deliapp por cualquier reclamo resultante del contenido proporcionado. Deliapp tiene el derecho de supervisar, editar o eliminar cualquier actividad o contenido. Deliapp no será responsable ni asumirá obligación alguna por cualquier contenido publicado por algún Usuario o tercero, ni asumirá la obligación de publicarlo o de conservarlo en el Plataforma.

Licencia de Contenido de Terceros.

A menos que se indique lo contrario, los Servicios y cualquier otro material y contenido publicado en los Servicios, incluyendo de manera enunciativa pero no limitativa, el logo de Deliapp, el logo y materiales de los Comercios y todos los diseños, textos, gráficos, imágenes, videos, información, datos, software, archivos de sonido y otros archivos, y la selección y disposición de los mismos son propiedad exclusiva de Deliapp, de sus empresas filiales o controladoras, o de los titulares de licencias o miembros, y están protegidos por las leyes de derecho de autor de los Estados Unidos Mexicanos e internacionales.

Licencia de Usuario.

Para hacer uso de nuestra Plataforma, Deliapp concede una licencia gratuita, temporal, no exclusiva e intransferible para que el Usuario solicite nuestros Servicios en la jurisdicción en que se encuentre dentro del territorio nacional de los Estados Unidos Mexicanos. El Usuario se obliga a no alterar, modificar, adaptar, sublicenciar, traducir, enajenar, hacer ingeniería inversa de, descifrar, descompilar o de otra forma desensamblar en todo o en parte cualquier porción de nuestra Plataforma y/o los archivos o programas de cómputo que los componen, o propiciar que cualesquiera terceros lo hagan por cuenta y orden suya o no, con o sin ánimo de lucro. La presente licencia podrá ser modificada o revocada en cualquier momento por Deliapp sin previo aviso.

Servicios ofrecidos por terceros.

De tiempo en tiempo, Deliapp puede mostrar o promocionar vínculos a productos o servicios de terceros. Tú reconoces que dichos productos y servicios son ofrecidos y comercializados por uno o más terceros, y no por nosotros. Para mayor información, debes consultar los términos y condiciones aplicables a dichos terceros, así como sus políticas de privacidad, las cuales rigen sus productos y servicios.

Deliapp no es responsable de los links a páginas web de terceros incluidos en nuestra Plataforma. Dichos links únicamente se proporcionan para comodidad del Usuario y el acceso a los mismos es exclusiva responsabilidad de los Usuarios.

Interrupción de los Servicios.

Nosotros podremos, a nuestro entero criterio y sin incurrir en responsabilidad alguna ante ti como usuario, con o sin aviso previo y en cualquier momento, desactivar, inhabilitar o interrumpir de manera temporaria o permanente cualquier parte de la Plataforma o nuestros Servicios, los cuales son prestados tanto por Deliapp como por terceros contratados para ello.

Al usar nuestros Servicios, lo haces bajo tu propio riesgo. En consiguiente, nuestros Servicios se proveen “como son” y “en la medida que estén disponibles”; y no declaramos ni garantizamos: (a) que nuestros Servicios cumplirán tus requisitos o expectativas; (b) que nuestros Servicios se brindarán de manera ininterrumpida, oportuna, segura, o libre de error; (c) la calidad de cualquiera de nuestros productos, actividades, información u otro material proporcionado a través del Sitio o de nuestros Servicios; (d) que todo error en cualquier dato o software será corregido; (e) cualquier pérdida de beneficios, ventas, negocios o ingresos; (f) pérdida o corrupción de datos, información o software; (g) la pérdida de oportunidades de negocio; (h) pérdida de los ahorros anticipados; (i) la pérdida del fondo de comercio, o (j) cualquier pérdida indirecta o consecuente.

Deliapp no puede garantizar que la información en su Plataforma sea en todo momento completa y correcta, toda vez que dicha información es provista por nuestros Comercios y terceras personas. Deliapp podrá realizar cambios en los contenidos de su Plataforma en cualquier momento y sin previo aviso.

Limitación y Exención de Responsabilidad.

Deliapp sólo será responsable por cualquier daño ocasionado al Usuario que sea derivado de la negligencia o dolo inexcusables directamente atribuibles a Deliapp o por alguna declaración falsa de Deliapp, salvo que dicho daño sea atribuible a la negligencia de la víctima o provocados por su propia negligencia o dolo.

La responsabilidad de Deliapp frente al Usuario en relación con el uso de la Plataforma y los Servicios de Deliapp se encuentra limitada a un crédito de Servicio dentro de la Plataforma, importe equivalente al monto del Servicio con motivo del cual se hubiera presentado el evento y hasta por un monto máximo equivalente al valor más alto del pedido de un Usuario que Deliapp tenga registrado.

Indemnización.

Cada Usuario indemnizará y se obliga a sacar en paz y a salvo a Deliapp, sus filiales, empresas controladas y/o controlantes, directivos, administradores, representantes y empleados, por cualquier reclamo o demanda de otros Usuarios o terceros por las actividades del Usuario y/o sus directivos y/o administradores y/o representantes y/o empleados y/o agentes en la Plataforma o por su incumplimiento a estos Términos o por la violación de cualesquiera leyes o derechos de terceros, incluyendo el pago de honorarios de abogados.

Deliapp no será responsable del incumplimiento de sus obligaciones conforme a los presentes Términos ocasionado por algún hecho que se encuentre fuera de su control, tales como el caso fortuito y la fuerza mayor (i.e. cualquier acto, evento, omisión o accidente que se encuentre fuera de nuestro control o del de nuestros Comercios, o que no fuera razonablemente previsible por Deliapp o por cualquiera de nuestros Comercios).

Generales.

Deliapp podrá, en cualquier momento y cuando así lo estime conveniente, ceder total o parcialmente sus derechos y obligaciones derivados de los presentes Términos.

Si cualquier disposición de estos Términos se considerara ilegal, nula o inexigible, ya sea en su totalidad o en parte, de conformidad con cualquier legislación, dicha disposición o parte de esta se considerará que no forma parte de estos Términos, aunque la legalidad, validez y exigibilidad del resto de las disposiciones de estos Términos no se verá afectada. En ese caso, las partes deberán reemplazar dicha disposición ilegal, nula o inexigible, en todo o en parte por una disposición legal, válida y exigible que tenga, en la medida de lo posible, un efecto similar al que tenía la disposición ilegal, nula o inexigible, dados los contenidos y el propósito de estos Términos.

Estos Términos constituyen el contrato íntegro y el entendimiento entre las partes en relación con el objeto y sustituye y reemplaza a todos los contratos o acuerdos anteriores o contemporáneos en relación con dicho objeto.

En estos Términos, las palabras “incluido/a/os/as” e “incluye/n” significan “incluido, de forma meramente enunciativa”.

Jurisdicción.

Estos Términos y el acuerdo contenido en ellos estarán regidos en todos sus puntos por las leyes vigentes en los Estados Unidos Mexicanos, en particular respecto de la transmisión de datos, contratación electrónica y comercio electrónico se regirá por lo dispuesto por la legislación federal respectiva.

Legislación Aplicable.

Para cualquier controversia derivada de los presentes Términos, su existencia, validez, interpretación y alcance, así como el cumplimiento y ejecución del presente contrato, las partes expresamente se someten a la jurisdicción de los tribunales federales competentes de la Ciudad de México, renunciando en consecuencia a cualquier fuero que en razón de su domicilio presente o futuro pudiera corresponderles.

CONTRATO DE SERVICIOS.

Deliapp ofrece los servicios de venta de alimentos y productos, generando entregas con el fin de captar clientes potenciales para proveedores INDEPENDIENTES de servicios de entrega. Los Servicios deliapp le permiten a Usted (una vez que cuente con la autorización de deliapp) recibir servicios de entrega de la aplicación deli: TE LO LLEVA.

Usted reconoce y acepta que deliapp es un proveedor de ventas y servicios tecnológicos que no ofrece servicios de entrega.

Uso de los Servicios deli Courier

ID de proveedor.

deliapp le dará sus credenciales de proveedor para que Usted pueda acceder a la Aplicación de deli Courier y utilizarla en un Dispositivo de conformidad con el presente Contrato. Usted acepta que mantendrá la confidencialidad de sus credenciales de proveedor y no compartirá tal información con ningún tercero. Usted notificará inmediatamente a deliapp cualquier infracción o divulgación de su ID de proveedor o de la Aplicación deli Courier, cualquier uso indebido de ambas o cualquier sospecha de tales infracciones.

Prestación de Servicios de entrega.

Cuando la aplicación deli Courier está activada, usted podrá ver peticiones de servicios de entrega que formula el sistema, basandonos en su ubicación, disponibilidad y otros demás factores. Toda la información para esa entrega será proporcionada por el sistema y usted deberá de acatar las instrucciones especiales que pudieran llegar a incluirse.

Usted no deberá de recolectar datos de los usuarios de deliapp ni hacer contacto con ellos por ningún motivo fuera del proceso de entrega seleccionado.

Relación con usuarios y destinatarios de entrega.

Usted reconoce y acepta que las peticiones de servicios de entrega de su parte a los usuarios crea una relación comercial directa entre el usuario y usted, con respecto a la cual deliapp no forman parte alguna. Deliapp no responde de acciones u omisiones de cualquier usuario o destinatario de la entrega en relación con las actividades que usted lleva a cabo o con su medio de transporte. Usted asumirá la responsabilidad exclusiva de cualquier obligación o responsabilidad para con usuarios, destinatarios de entrega u otros terceros que surjan de su prestación de servicios de entrega. Usted reconoce y acepta que:

La responsabilidad exclusiva de tomar las precauciones que sean razonables y adecuadas (incluida la suscripción de un seguro que satisfaga los requisitos de cualesquiera legislaciones aplicables) en relación con las acciones u omisiones de cualquier usuario, destinatario de la entrega u otros terceros recae sobre Usted.
deliapp podrán divulgar los datos de contacto o la información de seguros de usted a cualquier usuario o destinatario de la entrega previa petición razonable de cualquiera de estos (por ejemplo, en relación con un accidente).

Su relación con deliapp.

Usted reconoce y acepta que el acceso que deliapp le da a usted al uso de la aplicación deli Courier crea una relación comercial legal y directa entre deliapp y Usted. deliapp no le dirige ni le controla a usted, ni se deberá hacer tal presunción, en terminos generales ni tampoco de forma específica en el cumplimiento que le corresponde a usted en virtud del presente contrato, incluido en relación con la prestación de servicios de entrega por su parte, sus actos u omisiones o el uso y el mantenimiento que usted haga de su medio de transporte. Usted conserva el derecho exclusivo de determinar cuándo, dónde y por cuánto tiempo va a utilizar la aplicación deli Courier. Usted se reserva la opción, de intentar aceptar, rechazar o ignorar cualquier petición de servicios de entrega le sea ofrecida por el sistema, o de cancelar cualquier petición de servicios de entrega aceptada a través de deli Courier, siempre cuando sean contempladas a las políticas de cancelación vigentes de deliapp.

Usted entiende que conserva el derecho total para: (i) utilizar otros servicios de la aplicación de software además de los servicios de deliapp; y (ii) participar en cualquier otra ocupación o actividad comercial no haciendo siguiente: (a) mostrar los nombres, logotipos o colores de deliapp en su medio de transporte; (b) llevar uniforme ni ninguna otra prenda que muestre los nombres, logotipos o colores de deliapp. deliapp conserva el derecho a desactivar o revocar los accesos a deli Courier en caso de cualquier incumplimiento o presunto incumplimiento del presente contrato; usted menosprecie a deliapp; o usted cometa actos u omisiones que perjudiquen a la marca, la reputación o la actividad comercial de deliapp, según lo determine deliapp a su única discreción.

Valoraciones.

Usted reconoce y acepta que al finalizar cualquier servicio de entrega, la aplicacion deli: TE LO LLEVA podrá solicitar al usuario o al destinatario de la entrega que le valore a usted en el desempeño de su servicio de entrega y, de manera opcional, proporcione observaciones o dé su opinión acerca de usted en relación con tal servicio de entrega; y tambien, tras la prestación de servicios de entrega, la deli Courier le solicitará a usted que proporcione una valoración del usuario y, de manera opcional, que proporcione observaciones y opinión acerca del mismo. Usted deberá proporcionar su valoración y opinión de buena fe y cuidando los modos de expresion sobre los usuarios en todo momento.

Usted reconoce que deliapp desea que los usuarios tengan acceso a servicios de alta calidad a través de la aplicación tecnológica de deli: TE LO LLEVA. Con esa finalidad, para seguir teniendo acceso a la aplicación deli Courier usted deberá mantener una valoración media que exceda la valoración media mínima aceptable que haya establecido deli para la ciudad donde usted opera, la cual podrá ser actualizada por deliapp a su exclusiva discreción. Su valoración media pretende reflejar la satisfacción general de los usuarios con los servicios de entrega que usted presta, si su valoración media cayera por debajo de la valoración mínima establecida, deli le notificará este hecho y podrá asignarle, a su discreción, un plazo limitado para hacer incrementar su valoración media por encima de la Valoración media mínima. deliapp se reserva el derecho a desactivar su acceso a la deli Courier como consecuencia de dicha valoración. Además, Usted reconoce que la no aceptación continuada por su parte de peticiones de servicios de entrega formuladas por usuarios mientras usted está conectado a deli Courier genera una experiencia negativa para los usuarios de la aplicación deli: TE LO LLEVA. Si no desea aceptar peticiones de Servicios de entrega durante un período de tiempo, usted acepta cerrar sesión en la aplicación de proveedor.

deliapp se reservan el derecho a utilizar, compartir y mostrar valoraciones y observaciones de usted y el usuario durante los servicios de sin atribución a usted o su autorización. Usted reconoce y acepta que deliapp recibe y almacena las observaciones y valoraciones generadas por el usuario o el destinatario de la entrega y no está sujeta a ninguna obligación de verificarlas; sin embargo, deliapp se reserva el derecho a editar o borrar observaciones en caso de que estas sean obscenas u objetables por cualquier otra razón; incluyan el nombre y demás información personal de un particular; o infrinjan cualquier ley de privacidad, cualesquiera otras leyes aplicables.

Servicios basados en la ubicación.

Usted reconoce y acepta que su información de geolocalización deberá ser proporcionada a los servicios deliapp a través de su acceso a deli Courier, y podrán obtener la información de geolocalización de usted mientras se ejecute la aplicación; y su ubicación aproximada será mostrada al usuario y/o al destinatario de la entrega antes y en el transcurso de la prestación de servicios de entrega.

Términos financieros y de pago.

Para el cálculo de las tarifas de entrega y su pago, usted tiene derecho a cobrar una tarifa de entrega por cada servicio de entrega completado que le haya prestado a cualquier usuario y que haya obtenido a través de los servicios deliapp; según corresponda, dicha tarifa de entrega se calcula a partir de un importe base en concepto de tarifa de entrega más importes por distancia. Usted reconoce que la tarifa de entrega es el único pago que recibirá en relación con la prestación por su parte de servicios de entrega y que ni la tarifa de entrega ni el cálculo de la tarifa de entrega incluyen gratificación alguna.

Usted designa a deliapp como su agente de cobros limitado a los fines exclusivos de aceptar la tarifa de entrega y acepta que el pago realizado por el usuario a deliapp sea considerado obligatoriamente equivalente al pago directo que el usuario le hace a usted.

Cobros de deliapp y pagos.

Usted reconoce y acepta que deliapp deducirá de sus ingresos hasta un 25% de los mismos como comisión de uso de la plataforma, así como también se reserva el derecho de suplementar su pago conforme a su buen desempeño y valoraciones positivas que los usuarios expresen sobre los servicios de entrega. A su vez deliapp liquidará via transferencia electronica o deposito a la cuenta que usted registro en su formulario de inscripción. Los pagos se realizarán los días miércoles de cada semana, y comprenderán los servicios de entrega realizados en la semana inmediata anterior comprendida de Lunes a Domingo.

Depósitos y manejo de efectivo.

Usted reconoce y acepta que deberá de realizar depósitos de los servicios de entrega realizados a las cuentas deliapp designe para su territorio o cualquier otra forma expresada por deliapp como válida, teniendo como límite un máximo de 12 horas después de realizado el servicio. deliapp se reserva el derecho de desactivar su cuenta si no realiza dichas actividades en tiempo y forma. En caso de que usted no cumpla con las obligaciones que se mencionan en el presente Contrato, deliapp podrá llevar a cabo las acciones legales correspondientes en su contra.

Impuestos.

Usted reconoce y acepta que, en su calidad de prestador de servicios independientes, usted está obligado a: (a) cumplir con todas las obligaciones fiscales y satisfacer todas las obligaciones tributarias relacionadas con su prestación de los Servicios independientes de entrega según lo exigido por la legislación aplicable; (b) facilitar a deliapp toda la información fiscal pertinente. Lo anterior, incluso cuando deliapp actúe como agente de cobro de pagos limitado (también respecto a los impuestos y derechos sobre operaciones). Además, usted reconoce y acepta que es responsable de los impuestos sobre sus propios ingresos derivados de la prestación de servicios de entrega. Sin perjuicio de ningún aspecto que estipule lo contrario en el presente contrato, deliapp podrá, a su razonable discreción, y Usted dará su consentimiento a deliapp al respecto, basándose en las disposiciones fiscales, reglamentarias, y cualquier otra resolución o normativa fiscal aplicable, cobrar y enviar los impuestos que resulten de su prestación de los Servicios de entrega, así como facilitar cualquier información fiscal correspondiente que Usted haya facilitado en virtud del requisito mencionado anteriormente, directamente a las autoridades fiscales gubernamentales pertinentes en su nombre o de otro modo. También reconoce y conviene que en ningún caso deliapp será responsable de las obligaciones que le corresponden a Usted al amparo de las disposiciones legales en materia de impuestos o todas las demás contribuciones aplicables. La función de deliapp se limitará a la de agente de cobro para los pagos con tarjeta y otras funciones que expresamente se establecen en el contrato.

Plazo y rescisión

Plazo. El presente contrato comenzará a surtir efecto en la fecha en la que Usted lo formalizó (electrónicamente o de cualquier otro modo) y seguirá teniendo vigencia hasta que su extinción conforme a lo establecido en el presente Contrato.

Rescisión. Cada una de las partes podrá rescindir este Contrato: (a) sin necesidad de presentar ningún motivo con siete(7)días de preaviso por escrito a la otra parte; (b) inmediatamente, sin previo aviso, por incumplimiento sustancial del presente Contrato por la otra parte; deliapp podrá rescindir el presente Contrato o sua cceso a deli Courier de inmediato, sin preaviso, si Usted deja de estar capacitado, conforme a la legislación aplicable o a las normas y políticas de deliapp, para prestar servicios de entrega o bien para operar su medio de transporte, o según lo establecido de otro modo en el presente Contrato.

Relación de las Partes

Excepto en la medida en que en el presente documento se disponga lo contrario en relación con la actuación de deliapp en calidad agente de cobros de pago limitado exclusivamente a los fines de cobrar adeudos de usuarios en nombre de Usted, la relación entre las partes conforme al presente Contrato es exclusivamente la de contratistas independientes. Las partes acuerdan expresamente que: (a) el presente Contrato no es un contrato laboral, ni genera ninguna relación de empleador-empleado (incluido desde la perspectiva del derecho laboral, derecho fiscal o derecho de la seguridad social) entre deliapp y Usted; y (b) no existe ninguna relación de empresa conjunta, asociación comercial o relación de agente entre deliapp y Usted.

Usted no tiene ninguna autoridad para vincular a deliapp y se compromete a no considerarse empleado, trabajador, agente ni representante autorizado de deliapp.

Usted reconoce y acepta expresamente que, al aceptar las condiciones del presente Contrato, Usted pretende prestar Servicios de entrega de forma no incidental y, como tal, deliapp le considerará a Usted persona con obligación de tributar de conformidad con toda la legislación fiscal aplicable con respecto al IVA e impuestos indirectos.

Modificación.

deliapp se reserva el derecho a modificar las condiciones del presente Contrato en cualquier momento, con vigencia a partir de la fecha de publicación de una versión actualizada del presente Contrato en el portal de Internet disponible para Usted en los Servicios Deli. deliapp se reserva el derecho a modificar ocasionalmente cualquier información a la que se haga referencia en los enlaces del presente Contrato. Usted reconoce y acepta que, al hacer uso de los servicios deliapp o al descargar, instalar o utilizar la aplicación deli Courier, Usted está sujeto a cualquier modificación futura de la información referida en los enlaces contenidos en el presente Contrato o en documentos incorporados al mismo o a cualquier adición futura a ambos, incluidas aquellas en relación con los cálculos de la tarifa de entrega. El uso continuado de la Aplicación deli Courier después de cualquiera de dichos cambios implicará que Usted da su consentimiento a que se realicen tales cambios. A menos que se efectúen cambios en las disposiciones sobre arbitraje recogidas en el presente Contrato, Usted reconoce y acepta que la modificación del presente no genera otra oportunidad para excluirse del proceso de arbitraje.

Divisibilidad.

Si cualquier disposición del presente Contrato se considerara ilegal, nula o inaplicable, ya sea en su totalidad o en parte, de conformidad con cualquier legislación, se considerará que dicha disposición o parte de la misma no forma parte del presente Contrato, aunque la legalidad, validez y aplicabilidad del resto de disposiciones del presente Contrato no se verá afectada. En ese caso, las partes deberán reemplazar dicha (parte de) disposición ilegal, nula o inaplicable por una (parte de) disposición legal, válida y aplicable que posea, en la medida de lo posible, un efecto similar al que tenía la (parte de la) disposición ilegal, nula o inaplicable, dados los contenidos y el propósito del presente Contrato.

Cesión.

Usted no tiene derecho a ceder ni transferir el presente Contrato ni ninguno de los derechos u obligaciones que le corresponden a Usted en virtud del mismo, ya sea en su totalidad o en parte, sin consentimiento previo por escrito de deliapp. deliapp podrá ceder o transferir el presente Contrato o cualquiera de los derechos u obligaciones que le corresponden en virtud del mismo, ya sea en su totalidad o en parte, de conformidad con sus disposiciones sin consentimiento ni notificación. Si deliapp optara por ello, Usted tendrá derecho a rescindir el presente contrato de inmediato, sin necesidad de aviso previo.

Legislación Aplicable.

Ninguna disposición del presente Contrato restringe o excluye derechos legales que a Usted le puedan corresponder en virtud de la legislación aplicable y que no sean susceptibles de restricciones o exclusiones por ley (ni tiene tal pretensión).

Al pulsar “Acepto” o hacer uso de la applicacion deli Courier, Usted reconoce expresamente que ha leído y entendido el presente Contrato, que ha tomado las medidas necesarias para sopesar cuidadosamente las consecuencias de este, que acepta cumplir con las condiciones del mismo y que tiene capacidad legal para celebrar el presente Contrato.
